Terms of Service

These Terms govern your use of RunPayroll(the "Service"), operated by 1000595837 Ontario Inc. o/a Inlabs("we", "us"). By creating an account or using the Service, you agree to these Terms.

1. Accounts

You are responsible for the accuracy of the information you enter, for keeping your credentials secure, and for the activity of the users you invite. You must have authority to process payroll for any business you set up in the Service. If you administer payroll for other employers, you represent that each of those employers has authorized you to access, enter, and manage its payroll, employee, contractor, and tax information, to invite and remove users, and to have the Service generate and deliver payroll documents for it.

2. Acceptable use

Use the Service only for lawful Canadian payroll and related administration. Do not attempt to breach access controls, disrupt the Service, or use it to process data you are not entitled to process. The Acceptable Use Policy forms part of these Terms.

3. What the Service does and does not do

RunPayroll is payroll software. It calculates statutory deductions, generates payslips and year-end documents, and prepares remittance figures and filing-ready files (such as T4 slips and the T619 return) for you to submit. It does not hold or transfer payroll funds, pay your employees, initiate direct deposits, remit withheld amounts to any tax authority, file with the Canada Revenue Agency on your behalf, act as your representative before any authority, verify Social Insurance Numbers with government, determine whether a worker is an employee or a contractor, or provide legal, accounting, or tax advice.

You remain responsible for the accuracy, completeness, and timeliness of the information you provide, for worker classification, for your tax accounts and remitter frequency, and for reviewing payroll outputs before you rely on them. You make all payments and filings yourself, using what the Service prepares.

4. Fees and billing

Paid plans are billed monthly in Canadian dollars, per active employee, as described on our pricing page. An employee is billable in a month if they are paid at least once in that month. Fees are charged through our payment processor. You authorize recurring charges until you cancel.

5. Cancellation

You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period. See the Refunds and Cancellation Policy for details.

6. Intellectual property

The Service, its software, and its content are owned by us or our licensors. Your data remains yours. You grant us the limited rights needed to operate the Service for you.

7. Confidentiality and data protection

Each party keeps the other's non-public information confidential and uses it only for the purposes of these Terms. Workforce personal information you submit is handled under the Data Processing Addendum and the Privacy Policy, both of which form part of these Terms.

8. Warranties and disclaimers

We work to keep calculations accurate and current with CRA requirements, but the Service is provided on an "as is" basis to the extent permitted by law. You remain responsible for your statutory obligations as an employer.

9. Limitation of liability

To the extent permitted by law, we are not liable for indirect, incidental, special, exemplary, punitive, or consequential damages, and our total liability arising from the Service is capped at the fees you paid for the Service in the twelve months before the event giving rise to the claim. We are not liable for penalties, interest, or other consequences of inaccurate, incomplete, or late information you provide, or of payments or filings you did not make.

Counsel Structure per the research report: counsel to confirm the general cap, a higher tier for confidentiality and security incidents, and the uncapped carve-outs (fraud, willful misconduct, gross negligence, death or personal injury, IP infringement, and liabilities the law does not allow to be limited).

10. Governing law

These Terms are governed by the laws of the Province of Ontario and the laws of Canada that apply there. The courts of Ontario have jurisdiction.

11. Changes to these Terms

We may update these Terms. If a change is material, we will give reasonable notice. Continued use after a change means you accept the updated Terms.
